We have also advised and negotiated on behalf of foriegn firms seeking to establish a joint venture in Vietnam. We also have experience establishing joint stock companies and representative offices. Our specific areas of expertise include:
Structuring: • Advising foreign investors on establishing and operating a company in Vietnam and in other aspects of Vietnamese law affecting their business, including investment structuring and strategies, documentation and licensing of the company as well as dealing with post-licensing requirements. • Advising foreign business entities on setting up their representative offices in Vietnam, including the representative offices of the fund management and securities trading companies. • Advising, researching and drafting various agreements and documents in respect of banking works. Licensing: • Drafting and reviewing applications for issuance or amendment of investment licences, charters, joint venture agreements, shareholder's agreements, memorandum of understanding and memorandum in respect to giving legal advice on various issues relating to project development, commercial and incorporation law. Compliance: • Advising clients in compliance with the laws of Vietnam on foreign investment, corporate, commercial, land and property issues. • Reviewing and translating legal documents and agreements from Vietnamese into English and vice versa.
